This License Agreement ("Agreement") is in force between the User and TrendForTrend s.r.l., tax code/VAT no. 06675760968 and registration no. MI 1906896 with the Register of Companies, in the person of its pro-tempore legal representative, registered office at Piazza Principessa Clotilde 4B 20121, Milan - Italy ("TrendForTrend").
The Agreement applies, without any limitation, to the websites currently reachable at the following URL: [www.trendfortrend.com], and/or to any image delivered on-line or through any storage media.
The User’s acceptance of the terms and conditions of the Agreement is necessary for access and use of any image purchased from TrendForTrend.
If the User does not accept the following terms and conditions he shall not be authorised to download or use any image.

1. – Definitions
“Purchase”: shall mean the selection for download from the TrendForTrend website/s, by the User (subject to the latter’s subscription to the Service), of each Image, or packet of Images, with no consideration.
"Images": shall mean animations, clipart, composites, digital footage, digital video, film footage, fonts, graphics, illustrations, images, motion sequences, photographs or any other visual representation regardless of whether the images have been obtained by download from any TrendForTrend Web site, delivered via any storage media (CD-rom, DVD, etc.) that exists at present or may exist in the future, or obtained from a TrendForTrend authorised distributor, together with all accompanying metadata and other material.
“Service”: shall mean the Image download service provided by TrendForTrend and subscribed by the User at the time of purchase of the Credit, which allows the User to be able to download the Images from the TrendForTrend website/s following a Purchase.
"User": shall mean the individual, legal entity or agent entering into this Agreement or any employee or contractor of such party that edits, manipulates or modifies the Images or is otherwise directly involved in the creative process including, but not limited to, photo editors, photo researchers, photographers, art directors or designers. All Users shall only use the Images in accordance with the terms and conditions of this Agreement.

2. – Copyrights and related rights
The Images are covered by copyright and related rights and protected under Italian Law no. 633 dated 22 April 1941 (copyright law, “CRL”), international treaties and other applicable laws.
The Images are granted to the User under user licence pursuant to this Agreement and therefore shall remain the sole and exclusive property of TrendForTrend or its licensors.
Use of the Images without acceptance of this Agreement, or in breach of the terms and conditions of the Agreement, constitutes a breach of the Image rights.

3. – License conditions
TrendForTrend grants the User, who accepts, a non-exclusive, non-transferable licence, without the right to sub-licence, valid worldwide and for the duration of the related right, for use of the Images downloaded following Purchase through the Services, only according to the terms specified in this Agreement.
Pursuant to this Agreement the User shall have the right and be entitled to:
(i) back up and store single Images as necessary on a single server for archival, tracking or resource management purposes only. Any copy or archive created must include a “copyright notice” in compliance with the further provisions of this Article 3;
(ii) use the Images in any print or electronic media for editorial use only, provided such use does not allow the re-distribution or re-use of the Images;
(iii) use the Images as design elements in video, film or television broadcasts;
(iv) use the Images for all the other uses approved in writing by TrendForTrend.

The following uses of the Images are prohibited:
(i) sublicense, distribute, transfer or assign the Images or the rights to the Images;
(ii) copy or reproduce the Images, except as specifically indicated above in this Article 3;
(iii) remove the copyright, the indication of existence of the copyright and related rights, the registered trademark or watermark from wherever it appears on the Images;
(iv) display the Images in any digital format or for any use, except in editorial or preliminary design work. Doing so shall be viewed as an attempt to distribute the Images in breach of this Agreement;
(v) use the Images, or any part of the Images, as part of a registered or unregistered trademark or logo;
(vi) use the Images to compete, in any way, with TrendForTrend. For this purpose, and for the purposes of the Agreement, TrendForTrend’s business consists in licensing images to its customers (Users). For the avoidance of doubts, this clause prohibits use of the Images for entering, either directly or indirectly, into a business which is similar or in competition with TrendForTrend;
(vii) use the Images in a product or service through which the Images can be used separately from the product or service;
(viii) use the Images in any downloadable format intended for multiple distribution, including, by way of example, templates, website templates, software products, e-greetings cards, etc.;
(ix) use the Images in any way that could be considered defamatory, slanderous, insulting, pornographic, offensive, immoral, obscene, fraudulent or illegal, either by making physical changes to the Images, or following juxtaposition to accompanying text or images or in any other way;
(x) resell or assign the Images for any account for use in mobile devices, including but not limited to, mobile telephones, handheld game consoles and PDAs.

TrendForTrend also reserves the following further rights:
(i) notify that certain Images are no longer available for use;
(ii) all other rights not expressly granted pursuant to the Agreement are reserved solely to TrendForTrend;
(iii) TrendForTrend requests that adjacent to the Images or on any credit pages the User always inserts the following copyright notice: "© 2012 TrendForTrend ";
(iv) TrendForTrend reserves the right to replace the Images with alternative Images in any case. Upon notice of such replacement, the license for the replaced Images immediately, and automatically, terminates for any use of the Images that does not already exist, and this Agreement shall automatically apply to any replacement Images.

4. – No Consideration
The User shall not pay any consideration for the service provided by TrendForTrend under the Agreements.

5. – Validity
Each Image or packet of Images that have been purchased shall be placed at the User’s disposal for download from the TrendForTrend website/s, for a maximum period of 10 (ten) days or 168 (one hundred and sixty-eight) consecutive hours (“Download Period”).

6. – Duration
The Duration of the Agreement is unlimited and each of the Parties can withdraw in any moment, by sending to the other Parties written notice in a advance of 48 hours.

7. – Express termination clause and effects of termination and expiry of the Agreement
Without prejudice to the other remedies provided by applicable law, this Agreement shall be considered automatically terminated if the User fails to fulfil any one of the obligations to be met pursuant to Article 3 above. 
TrendForTrend is entitled, at its sole discretion, to: (i) monitor, as frequently as it determines, any file or portion of file that is downloaded from its website/s, (ii) limit downloads to a fixed amount of downloads per 24 hour period so as to ensure the best possible service to all Users, (iii) track and record any misuse of the User’s username and password, (iv) suspend or terminate the User’s account, without notice, if TrendFor Trend believes there has been a breach of this Agreement, of the terms for use of the website and/or any misuse of the User’s username and password.

8. – Warranties and limitations of responsibility
TrendForTrend represents and warrants that:
(i) it is entitled to enter into this Agreement and to grant the rights mentioned therein relating to the Images;
(ii) the Images provided pursuant to this Agreement, and used as permitted thereby, do not breach any copyright and/or related right, registered or unregistered trademark, moral right or any other third party industrial and/or intellectual property right.
Except as mentioned above in this Article 6, the Images are provided “as is” without warranty of any kind, either express or implied, including, but not limited to, the implied warranties of marketability or fitness for a particular purpose. TrendForTrend makes no warranties for any Images that have been modified or altered by the User, who shall be solely responsible in the event of claims relating to or arising out of his modification or use of said Images. TrendForTrend grants no rights or warranties with regard to use of Images containing names, registered and unregistered trademarks, logo types, copyrighted designs or works of art or architecture depicted in any Image, where this use is in patent breach of third party property rights on the aforesaid names, registered and unregistered trademarks, logo types, copyrighted designs or works of art or architecture depicted. In this case the User is solely responsible for determining whether his use of any Image requires the consent of another party or the licence of any additional rights. If the User is unsure whether additional rights are needed for use of the Images, he shall be obliged to consult with competent legal counsel. The User shall in any case be obliged to autonomously and personally acquire all the necessary rights, permissions or authorisations as may be required. Except as provided in point (ii) above, TrendForTrend does not warrant that the Images, the website or the other material shall meet with the User’s requirements or that they shall be without defects. The entire risk as to the quality, performance and use of the Images lies solely with the User.
The User recognises and acknowledges that the tags associated with the Images are for tracing purposes only; hence the User recognises, acknowledges and accepts that the tags do not in any way reflect the characteristics of the Images or of that which they depict.
Excepting cases of fraud or gross negligence, TrendForTrend may not be held liable towards the User or other parties for any damage arising out of use that the User shall make of the Images, or of suspension of the licence provided under the Agreement by TrendForTrend or for any other reason, even in the case in which TrendForTrend is warned of the possibility of such damage, costs or losses.
Excepting cases of fraud or gross negligence of TrendForTrend, any aggregate liability of TrendForTrend towards the User or towards third parties claiming through the User, arising out of or in connection with use of the Images or inability to use them (whether in contract, tort or for any other reason) shall be limited to ten (10) times the consideration actually received by TrendForTrend for use of the purchased Images.
The User represents, warrants and agrees that:
(i) he is at least eighteen years of age and has the full right and authority to enter into this Agreement on his own behalf and/or on behalf of his company, employer or principal;
(ii) he does not reside in any country to which export of the products referred to in the Agreement are prohibited or restricted and shall not ship, transfer or export any of the Images into any such country or use any of the Images in any manner prohibited by any laws, restrictions or regulations;
(iii) he shall not use the Images in any way that is not permitted by this Agreement;
(iv) his use of the Images shall not breach any applicable law or regulation of any country, state, or other governmental entity;
(v) the information provided to TrendForTrend is accurate and true.
(vi) if he is acting as an agent, the User must inform his client/principal of the terms and conditions of this Agreement.

9. – Indemnification
The User undertakes to indemnify and hold TrendForTrend, its affiliates, parent companies, subsidiaries, employees, directors, officers, successors, assigns, distributors and anyone else associated with TrendFor Trend, harmless from, and against, any and all claims, liabilities, costs, damages, or expenses, (including legal expenses) asserted against TrendForTrend and arising out of his use of the Images in breach of any of the terms and conditions of this Agreement. 
The remedy provided by this Article 9 constitutes the only aggregate indemnification obligation on the part of TrendForTrend within this Agreement and the sole and exclusive legal remedy that may be attempted by the User for any effective breach of the representations and warranties expressed hereunder by TrendFor Trend. 
TrendForTrend declines any and all liability or indemnification obligation in the presence of claims, liabilities, costs, damages, or expenses arising out of: (i) modification or alteration of the Images made by any party other than TrendForTrend or (ii) juxtaposition of the Images to any text or graphic material, whether on paper or electronic media, to the extent that no claim and/or dispute would have arisen if said modifications or juxtapositions had not occurred.
The indemnifying party may choose to assume the handling, settlement or defence of any request for compensation or litigation and the indemnified party undertakes to reasonably cooperate in the defence of any claim. The indemnified party shall have the right to participate in the litigation, at its own expense, through legal counsel of its choosing.

10. – Governing law, jurisdiction and competence
This Agreement is governed by Italian law.
Each and every dispute relating to the validity, effectiveness, interpretation and execution of this Agreement shall be submitted to the exclusive jurisdiction of the Italian judicial authority, and to the exclusive competence of the Court of Milan, with exclusion of any other court.

11. – Communications
All communications provided during the validity of this Agreement must be made between the Parties in writing to the following addresses:
(i) with regard to the User: to the email address provided to TrendForTrend at the time of registration on the related website;
(ii) with regard to TrendForTrend: companies@trendfortrend.com

12. – Processing of personal data
The User acknowledges that TrendForTrend shall process his personal data, acquired pursuant to or during this Agreement in its capacity as Data Controller, also using automated procedures, for purposes related or instrumental to the preparation, conclusion and execution of the Agreement, as well as - with his consent – for purposes functional to the activity of TrendForTrend, such as analysis of service quality and measuring of customer satisfaction, forwarding of invitations to events and initiatives, information on the activities of Trend ForTrend, conducting of statistical processing, market research and analysis – even nominative – of the customers’ profiles, in order to customise the offers and proposals (profiling), as well as the promotion and sale of products and services of TrendForTrend or of third party companies, executed through letter, telephone or automated communication systems.
In relation to the specified purposes, the processing of personal data occurs using manual, computer and electronic tools with logics strictly related to said purposes and, in any case so as to guarantee the security and confidentiality of said data.
TrendForTrend may disclose the personal data to all those entities whose services it uses to achieve the purposes indicated in the Agreement and also to persons, companies, associations or professional firms who provide assistance and consultation on administrative, legal, tax and financial matters in the capacity of autonomous data controllers.
optional but is necessary for management of the contractual relationship and that any refusal to disclose data may render the stipulation and execution of the agreement impossible, and that he is entitled to all the rights set forth in Article 7 of Italian Legislative Decree no. 196 dated 30 June 2003 (Privacy Code).
I, the User, hereby accept all the conditions of the Agreement. *
Pursuant to Articles 1341 and 1342 of the Italian Civil Code, the User declares to specifically approve, through double signature, the following clauses:

TrendForTrend's privacy policy document
Pursuant to Italian Legislative Decree no. 196 dated 30 June 2003 (Privacy Code) the User authorises Trend ForTrend to process his data for marketing or informative purposes, in relation to products and services of TrendForTrend or of third party companies, also through the use of automated instruments (e.g. email, telephone, internet).
I, the User, hereby approve this privacy policy condition. *
